These Terms and Conditions ("Terms") govern your access to and use of the Cruzz website and online store available at https://cruzzcore.com/ (the "Service").

The Service is operated by ViSand Wick, a sole proprietorship established in Switzerland and operating under the brand name Cruzz ("Cruzz," "we," "us," or "our").

The Service is an online store through which customers can view and purchase clothing and other products, including custom and personalized products where offered.

By accessing or using the Service, placing an order, or purchasing products from us, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Service or place an order.

These Terms are subject to applicable mandatory consumer protection laws. Nothing in these Terms is intended to exclude or restrict rights that cannot legally be excluded or restricted.


1. ELIGIBILITY

There is no general minimum age to browse the Service or purchase our products, unless a higher age requirement applies under the law applicable to you.

If you are a minor, you may use the Service and purchase products only to the extent permitted by the laws applicable to you. Where applicable law requires the consent or involvement of a parent or legal guardian, such consent or involvement is required.

By using the Service or placing an order, you confirm that you have the legal capacity required under applicable law to enter into the relevant transaction.


2. YOUR ACCOUNT

Certain features of the Service may allow or require you to create a customer account.

If you create an account, the information you provide must be accurate, complete, and kept reasonably up to date.

You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account.

If you believe that someone has gained unauthorized access to your account, you should contact us promptly using the contact information provided in these Terms.

We may suspend or close an account where it is reasonably necessary because the account has been used in violation of these Terms, used unlawfully, compromised, or where required or permitted by applicable law.


3. ACCEPTABLE USE

You may use the Service only for lawful purposes and in accordance with these Terms.

You must not use the Service to violate applicable laws, infringe the intellectual property, privacy, or other rights of another person, upload or transmit malware or other harmful material, attempt to gain unauthorized access to the Service or another person's account or data, interfere with the security or operation of the Service, scrape or systematically copy substantial portions of the Service or its content using automated means, reverse engineer or attempt to derive source code except where expressly permitted by applicable law, impersonate another person or organization, misrepresent an affiliation, or use the Service to harass, threaten, defraud, or otherwise harm others.

If we reasonably believe that the Service has been misused or that these Terms have been violated, we may take appropriate measures, including removing content, restricting access, suspending an account, terminating access, or reporting unlawful conduct to the appropriate authorities where required or permitted by law.


4. PRODUCTS, ORDERS AND PURCHASES

We aim to provide accurate product descriptions, images, colors, sizes, specifications, and pricing.

However, product colors and visual appearance may vary depending on your device, screen settings, production process, and other factors.

Because our products may be produced on demand, product availability may depend on the availability of the relevant product, size, color, production location, and fulfillment provider.

When you place an order, you are submitting an offer to purchase the selected products.

An order is not necessarily accepted merely because you have submitted it or received an automated order confirmation.

We may decline or cancel an order where permitted by applicable law, including where a product is unavailable, where there is an obvious pricing or product-description error, where we reasonably suspect fraud or unauthorized activity, or where fulfillment is not reasonably possible.

If we cancel an order after payment has been received, we will refund the amount paid for the cancelled order to the original payment method, subject to applicable law.


5. PRICES AND PAYMENT

Prices are displayed in the currency shown on the Service.

Applicable taxes, duties, and shipping costs will be displayed at checkout where required by applicable law.

Prices may be changed at any time. A price change will not affect an order that has already been accepted and paid for, except where correction or adjustment is required by law.

Payments are processed through third-party payment providers, including payment methods made available through Shopify Payments and PayPal.

By placing an order, you authorize the applicable payment provider to process the payment method you provide for the amount shown at checkout.

You confirm that you are authorized to use the selected payment method.

Additional customs duties, import taxes, or other charges imposed by the destination country may apply to international orders. Where such charges are not collected by us at checkout, they may be the responsibility of the customer to the extent permitted by applicable law.


6. SHIPPING AND DELIVERY

Our products are produced and fulfilled through third-party production and fulfillment providers, including Gelato and its production network.

Shipping and delivery are subject to our Shipping Policy, which forms part of these Terms.

Estimated production and delivery times are provided as guidelines and are not guaranteed unless expressly stated otherwise.

Delivery times may be affected by production capacity, product availability, destination, shipping method, carrier delays, customs procedures, weather, holidays, and other circumstances outside our reasonable control.

Customers are responsible for providing accurate shipping and delivery information.

Where an order cannot be delivered because incorrect or incomplete information was provided by the customer, additional shipping or reshipping costs may apply where permitted by applicable law.


7. REFUNDS, RETURNS AND DEFECTIVE PRODUCTS

Our Refund & Return Policy forms part of these Terms.

Because many of our products are produced specifically after an order is placed, we generally do not offer voluntary returns or exchanges for products that were correctly produced and delivered solely because of a change of mind, personal preference, incorrect size selection, or similar reasons, to the extent permitted by applicable law.

This does not affect mandatory statutory consumer rights.

If a product is defective, damaged, incorrectly produced, or does not conform to the order, please contact us as soon as reasonably possible.

Custom and personalized products may be subject to additional rules described in our Refund & Return Policy. Where applicable law provides mandatory consumer rights for such products, those rights remain unaffected.


8. CUSTOM AND PERSONALIZED PRODUCTS

Cruzz may offer custom and personalized products.

Customers may provide names, text, messages, artwork, logos, images, references, color preferences, placement instructions, or other design specifications.

Customers are responsible for ensuring that information and materials they submit are accurate and that they have the necessary rights and permissions to use such materials.

Before production begins, customers may be required to review and approve the final design.

Once a custom or personalized product has entered production, cancellation or modification may no longer be possible, except where required by applicable law.

9. CUSTOMER-PROVIDED CONTENT

If you submit images, artwork, logos, photographs, text, or other materials to us, you retain ownership of your content unless otherwise agreed.

By submitting such materials, you grant Cruzz a limited, non-exclusive permission to use, reproduce, modify, transmit, and provide the materials to relevant service providers only as reasonably necessary to review, create, produce, fulfill, and deliver the requested product or service.

You represent that you have the necessary rights and permissions to submit and use the materials and that their use for the requested purpose does not unlawfully infringe the rights of another person.

We may refuse to process content that we reasonably believe violates applicable law, infringes third-party rights, or is otherwise unsuitable for our Service.


10. INTELLECTUAL PROPERTY

The Service and its content, excluding customer-provided content, are owned by ViSand Wick, Cruzz, or applicable licensors.

This includes, where applicable, website design, text, graphics, photographs, product images, logos, trademarks, branding, software, layouts, and other materials made available through the Service.

You may access and use the Service for its intended personal and lawful purposes.

You may not reproduce, distribute, modify, publicly display, commercially exploit, or otherwise use our protected content without our prior written permission, except where such use is expressly permitted by applicable law.

Nothing in these Terms transfers ownership of our intellectual property to you.


11. THIRD-PARTY SERVICES AND LINKS

The Service may use or link to third-party websites, platforms, applications, or services.

These may include Shopify, Gelato, payment providers such as Shopify Payments and PayPal, shipping providers, hosting providers, security services, and other service providers necessary to operate our business.

Third-party services are governed by their own terms and privacy policies.

We are not responsible for third-party websites or services to the extent permitted by applicable law, including their availability, content, policies, or practices.


12. PRIVACY AND PERSONAL DATA

We process personal information in accordance with our Privacy Policy, which forms part of the information governing your use of the Service.

Nothing in these Terms limits any mandatory privacy or data protection rights available to you under applicable law.


13. WEBSITE AVAILABILITY AND CHANGES

We aim to keep the Service available and functioning properly, but we do not guarantee that the Service will always be uninterrupted, error-free, secure, or available at all times.

We may temporarily suspend access where reasonably necessary for maintenance, security, technical reasons, legal requirements, or circumstances outside our reasonable control.

We may add, modify, replace, suspend, or discontinue features, products, services, or other parts of the Service.

Where applicable law provides mandatory rights as a result of such changes, those rights remain unaffected.


14. DISCLAIMERS

To the fullest extent permitted by applicable law, the Service and its content are provided on an "as is" and "as available" basis.

We do not guarantee that the Service will always be uninterrupted, error-free, secure, or completely accurate or complete.

We do not exclude or limit warranties, guarantees, statutory remedies, or other rights that cannot legally be excluded or limited.

If you are a consumer, mandatory statutory rights applicable to your purchase or use of the Service remain unaffected.


15. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Cruzz and ViSand Wick will not be liable for indirect or consequential losses or for losses of profit, revenue, goodwill, business opportunities, or data arising from your use of the Service.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

This includes liability that cannot legally be excluded or limited, including where applicable liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights and remedies.

Where liability may legally be limited, any limitation will apply only to the maximum extent permitted by applicable law.


16. INDEMNIFICATION

To the extent permitted by applicable law, you agree to compensate Cruzz and ViSand Wick for reasonable losses, claims, damages, liabilities, or costs arising directly from your unlawful use of the Service, your material breach of these Terms, or your infringement of the rights of another person.

This section does not apply to the extent that the relevant loss or liability results from our own breach, negligence, or other conduct for which we are legally responsible.

Nothing in this section applies to consumers to the extent that such an obligation is prohibited or restricted by mandatory applicable law.


17. SUSPENSION AND TERMINATION

You may stop using the Service at any time.

Where you have a customer account, you may request its closure subject to any outstanding orders, transactions, legal obligations, or other matters that need to be completed.

We may suspend or terminate access to the Service where reasonably necessary because of a material breach of these Terms, unlawful use, security risks, legal requirements, or other legitimate reasons permitted by applicable law.

Where reasonably possible and appropriate, we may provide notice before taking such action.

Provisions that by their nature should continue after termination will remain applicable, including provisions concerning intellectual property, customer-provided content, disclaimers, liability, indemnification, disputes, and governing law.


18. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our business, products, services, technology, legal requirements, or business practices.

When we update these Terms, we will revise the "Last Updated" date.

Where required by applicable law, we will provide additional notice of material changes.

The updated Terms will apply from the effective date stated in the updated version, subject to any mandatory rights that apply to existing orders or transactions.


19. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Switzerland, subject to any mandatory consumer protection laws that apply to you and cannot legally be excluded or overridden.

Any dispute arising from these Terms or your use of the Service will be subject to the jurisdiction of the competent courts in Switzerland, subject to any mandatory jurisdictional rights available to consumers under applicable law.

Before initiating formal legal proceedings, we encourage customers to contact us so that we can attempt to resolve the matter directly.

Nothing in this section prevents a consumer from exercising mandatory rights concerning the courts or dispute-resolution mechanisms available under the law applicable to them.


20. GENERAL PROVISIONS

These Terms, together with our Privacy Policy, Refund & Return Policy, Shipping Policy, and any other policies expressly incorporated into them, constitute the principal terms governing your use of the Service and purchases from Cruzz.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will remain in effect to the extent permitted by applicable law.

A failure by us to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.

You may not transfer your rights or obligations under these Terms where such transfer is prohibited by applicable law.

We may transfer our rights and obligations in connection with a sale, restructuring, merger, reorganization, or transfer of our business, provided that applicable legal requirements are satisfied.
